This Independent Contractor Services Agreement (“Terms of Use” or “Agreement”) is an electronic contract that sets out the legally binding terms of the relationship between Rimosite and you. By registering to become a Rimosite worker or user, you accept and agree to be bound by the terms of this Agreement. Please read it carefully. By accessing the Application, or becoming a Rimosite worker or user, you accept this Agreement and agree to the terms, conditions and notices contained and/or referenced herein.

MODIFICATIONS

RIMOSITE reserves the right, in its sole discretion, to modify these Terms, and any other documents incorporated by reference herein, at any time and without prior notice. RIMOSITE will notify you of changes by posting on the RIMOSITE website, sending you a message, and/or otherwise notifying you when you are logged into your account. Modifications will become effective thirty (30) days after the earliest of: (a) modifications being posted on the Platform; (b) Rimosite transmission of a message to you about the modifications; or (c) you are otherwise notified when you are logged into your account. Your use of the Platform after the expiration of the thirty (30) days shall constitute your consent to the changes. If you do not agree, you may not access or use the Platform.

KEY TERMS

“Collective Content” means User Content and Rimosite Content together.

“Content” means text, graphics, images, music, software, audio, video, information or other materials, including but not limited to profile information, Pro Services requests, quotes, message threads, reviews, scheduling and calendar information, and other information or materials available on or through the Platform.

“Customer Member” means a Member who is registered to receive Services, or otherwise uses the Platform to receive, pay for, review, or facilitate the receipt of Services.

“Member” means a person or entity who completes Rimosite account registration process or a person or entity who submits or receives a request through Rimosite, including but not limited to Service Members and Customer Members.

“Platform” means all Rimosite websites, mobile or other applications, software, processes and any other services provided by or through Rimosite

“Service Member” means a Member who is registered to send quotes for Pro Services, sends quotes for Pro Services, or otherwise uses the Platform to offer, provide, receive payment for, or facilitate the provision of Pro Services.

“Rimosite Content” means all Content Rimosite makes available on or through the Platform, including any Content licensed from a third party, but excluding User Content.

“User Content” means all Content submitted, posted, uploaded, published, or transmitted on or through the Platform by any Member or other user of the Platform, including but not limited to photographs, profile information, descriptions, postings, reviews, requests, messages, and payments made through the Platform, but excluding Rimosite Content and Feedback.

ACCOUNT REGISTRATION AND OTHER SUBMISSIONS

Users may access the Platform without registering for an account. To access and participate in certain features of the Platform, you will need to create a password-protected account (“Account”). You may register for an Account using certain third-party account and log-in credentials (your “Third-Party Site Password”), such as your Facebook or Google credentials. You agree to provide accurate, current, and complete information during the registration or request submission process and at all other times when you use the Platform, and to update information to keep it accurate, current, and complete.

You are solely responsible to keep your password safe.

You must be at least 18 years old [or the age of legal majority in the jurisdiction in which you work] and legally authorized to work in the Nigeria to become a Rimosite Worker or user. If you do not meet these criteria, you may not register on this platform.

INDEPENDENT CONTRACTORS RELATIONSHIP.

As an independent contractor, you are solely responsible for determining which job you will choose to accept and how, when and where you will provide the Services under this Agreement.

SAFETY TIPS FOR ARTISANS.

Artisans are responsible for their safety, as such we advise all artisans to meet clients in a public place and inform their wards, spouses, friends and families of their location.

RIMOSITE will not be held responsible for any injury caused during the cause of services as we only provide visibilities for artisan and not direct employment.

RIMOSITE reserves the right to disclose Personal Information from both private and public areas of the RIMOSITE Platform in the absence of a court order, warrant, or subpoena, to the extent permitted by applicable law, if we are given reason to believe, in our sole discretion, that someone is causing injury to or interfering with the rights of Users, the general public, or RIMOSITE or its partners, parents or affiliates.

It is our policy to provide notice to Users before producing their information in response to law enforcement requests unless (i) we are prohibited or otherwise constrained by law or court order from doing so, (ii) we have reason to believe the User’s account has been compromised such that the notice would go to the wrong person, or notice would otherwise be counterproductive or would create a risk to safety, or (iii) it is an emergency request and prior notice would be impractical (in which case we may provide notice after the fact).

Merger or Acquisition. RIMOSITE reserves the right to share information in connection with, or during negotiations of, any proposed or actual merger, purchase, sale, or any other type of acquisition or business combination of all or any portion of our assets, or transfer of all or a portion of our business to another business.

Public Areas. Your profile on the RIMOSITE Platform consists of information about you and your business, and may include information such as photographs, your years in business, skills and expertise , feedback/rating information, and other information, including your username (“Profile”). The information in your User Profile may be visible to all Users and the general public. If you choose to post a job via the RIMOSITE Platform, the contents of such listing will be viewable to users you select on the RIMOSITE Platform.

PROHIBITIONS

As a user of the Platform, you may not:

• Use another person’s Account, misrepresent yourself or Pro Services offered through the Platform, misrepresent your identity or qualifications, misrepresent a project or other information in a quote request, or post Content in any inappropriate category or areas on the Platform;
• Deceive or commit any fraudulent activity on our platform.
• Provide fake identity, or false job offers.
